Terms of Service

Welcome to [Bee Global.ai] (referred to as “Bee Global,” “Company,” “we,” “our,” or “us”). These Terms of Service (the “Terms”) govern your access to and use of the Bee Global.ai website and related services (collectively, the “Services”). By accessing or using our Services, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. Eligibility

1.1 Age Requirement
By using our Services, you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement.

1.2 Authority
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, “you” and “your” will refer to both you as an individual and the organization you represent.

2. Account Registration

2.1 Creating an Account
You may need to register for an account to access certain features of our Services. When creating an account, you agree to provide accurate, current, and complete information, and to keep this information up to date.

2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3. Subscription and Fees

3.1 Subscription Plans
We may offer different subscription plans (the “Subscription”) for accessing and using certain features of our Services. Fees, terms, and conditions of each Subscription will be outlined on our pricing page or in a separate written agreement.

3.2 Billing
By purchasing a Subscription, you authorize us (or our designated payment processor) to charge you the applicable fees at the beginning of each billing cycle or as otherwise stated. If your payment method fails, you remain responsible for any uncollected amounts.

3.3 Refunds
All Subscription fees are non-refundable unless otherwise stated in a separate written agreement or required by applicable law.

4. License and Intellectual Property

4.1 Ownership
All content, trademarks, service marks, trade names, logos, and other intellectual property displayed on or incorporated into the Services (“Company IP”) are the property of Bee Global or its licensors and are protected by intellectual property laws. Except as expressly stated in these Terms, no license or ownership of any Company IP is granted to you.

4.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal, personal, or commercial use (as applicable) during the term of your Subscription.

4.3 User Content
You retain ownership of any data, information, or material you upload or submit to the Services (“User Content”). By submitting User Content, you grant Bee Global a worldwide, non-exclusive, royalty-free license to store, process, transmit, and otherwise use your User Content to provide and improve our Services.

5. Acceptable Use

5.1 Prohibited Conduct
You agree not to use the Services in any manner that:

  • Violates any applicable law, regulation, or these Terms;

  • Infringes or misappropriates the intellectual property or other rights of any person or entity;

  • Is fraudulent, deceptive, defamatory, obscene, pornographic, or otherwise objectionable;

  • Transmits spam, chain letters, or other unsolicited communications;

  • Distributes viruses or other harmful code;

  • Interferes with, disrupts, or attempts to gain unauthorized access to the Services, related systems, or networks.

    5.2 Enforcement
    We reserve the right (but have no obligation) to monitor and review any User Content or use of the Services. We may remove or disable access to any content at our sole discretion for any reason or no reason, including if we believe it violates these Terms.

7. Disclaimers

7.1 No Warranty
The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

7.2 Use at Your Own Risk
Your use of the Services is at your own risk. We do not guarantee that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected.

8. Limitation of Liability

8.1 Exclusion of Certain Damages
To the fullest extent permitted by applicable law, in no event shall Bee Global or its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the Services.

8.2 Limitation of Liability
In no event shall Bee Global’s total liability to you for all claims arising out of or relating to the Services or these Terms exceed the total fees paid by you to Bee Global in the six (6) months immediately preceding the event giving rise to such liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless Bee Global and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  1. Your use or misuse of the Services;
  2. Your violation of these Terms;
  3. Your violation of any third-party rights, including intellectual property or privacy rights.

10. Termination

10.1 Termination by You
You may terminate your account at any time by contacting us or by following instructions (if available) within your account settings. However, terminating your account does not relieve you of any obligation to pay outstanding fees, if applicable.

10.2 Termination by Bee Global
We may suspend or terminate your access to the Services at any time, for any reason or no reason, including if we believe you have violated these Terms.

10.3 Effect of Termination
Upon termination or expiration of your account, your right to access and use the Services immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Modifications to the Services or Terms

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We may also revise these Terms from time to time at our sole discretion. If we make any material changes to the Terms, we will notify you by posting the updated Terms and updating the “Last Updated” date at the top. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.

12. Governing Law and Dispute Resolution

12.1 Governing Law
These Terms and any dispute arising out of or related to them or the Services will be governed by and interpreted in accordance with the laws of Travis County, Texas, without regard to its conflict of laws provisions.

12.2 Dispute Resolution
Any dispute arising from or related to these Terms shall be resolved through good-faith negotiations. If the dispute cannot be resolved informally, you and Bee Global agree to submit to the exclusive jurisdiction of the state or federal courts located in Travis County, Texas. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Miscellaneous

13.1 Entire Agreement
These Terms, along with any additional agreements or policies referenced herein, constitute the entire agreement between you and Bee Global and supersede all prior agreements or understandings regarding the same subject matter.

13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

13.3 No Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. The failure of Bee Global to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms freely without restriction.

13.5 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, or strikes.
